If a separate written agreement conflicts with these Terms, the separate written agreement will control for the paid engagement.

Specific deliverables, timelines, fees, payment terms, refund terms, access requirements, and service scope will be defined in the applicable proposal, invoice, statement of work, or written client agreement.

Unless expressly stated in writing, LDZ Digital does not provide ongoing support, unlimited revisions, emergency response, platform monitoring, legal compliance review, financial analysis, or guaranteed implementation outside the agreed scope of work.

No Guarantee of Results

LDZ Digital does not guarantee any specific ranking, keyword position, AI recommendation, AI mention, traffic level, lead volume, conversion rate, revenue increase, profit increase, cost savings, or business outcome.

Search engines, AI systems, business directories, social platforms, and third-party tools are controlled by outside companies and may change at any time.

Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information requested by LDZ Digital.

This may include, but is not limited to:

Business details
Website access
Google Business Profile access
Analytics access
Platform access
Brand assets
Service information
Customer information
Prior marketing history
Performance data
Any other materials reasonably needed to perform the service

Clients are also responsible for reviewing deliverables, approving strategies, implementing recommendations when applicable, maintaining their own business operations, complying with applicable laws and industry regulations, and making final business decisions based on their own judgment.

LDZ Digital is not responsible for delays, reduced performance, missed opportunities, incomplete work, ranking changes, revenue changes, or other negative outcomes caused by incomplete information, delayed responses, denied access, client-side changes, third-party vendors, prior marketing activity, website limitations, platform restrictions, or the client’s failure to implement or maintain recommended actions.

The client remains responsible for their business decisions, offers, pricing, sales process, customer service, fulfillment, legal compliance, financial decisions, and operational outcomes.

Third-Party Services

This website and LDZ Digital’s services may rely on or reference third-party platforms, tools, software, website builders, analytics platforms, search engines, AI platforms, directories, automation systems, CRMs, hosting providers, domain providers, email platforms, and other external systems.

LDZ Digital does not control third-party platforms and is not responsible for their actions, outages, errors, billing practices, terms, policies, account decisions, data reporting, algorithm changes, feature changes, service interruptions, or performance.

Clients are responsible for reviewing and complying with the terms, privacy policies, pricing, and usage requirements of any third-party tools or platforms used in connection with their business.

Intellectual Property

All content on this website, including text, design, page structure, graphics, logos, service names, frameworks, audit concepts, strategy language, visual elements, and the LDZ Digital name, is owned by LDZ Digital LLC or its licensors unless otherwise stated.

For claims related to paid services, LDZ Digital’s total liability shall not exceed the amount actually paid by the client to LDZ Digital for the specific service giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, unless a separate written agreement states otherwise or applicable law requires otherwise.

Nothing in these Terms is intended to limit liability for fraud, intentional misconduct, gross negligence, or any liability that cannot legally be limited or excluded.

Indemnification

You agree to defend, indemnify, and hold harmless LDZ Digital LLC, including its owners, officers, contractors, affiliates, representatives, and service providers, from and against any claims, damages, losses, liabilities, costs, expenses, or demands, including reasonable attorney’s fees, arising out of or related to:
